Free Tools Agreement

This Free Tools Agreement (the "Agreement") is published at https://blisswriter.app/legal/free-tools, alongside the Terms of Service, the Privacy Policy, and the Bliss Writer End User License Agreement.

1. Parties

1.1 This Agreement is between Weedon & Scott, LLC, a Delaware limited liability company ("We", "Us", or "Our"), and You, the person who uses software We make and publish at no charge under this Agreement, in every version of it, whether You download it or run it in Your browser (each a "Free Tool") ("You").

2. Acceptance

2.1 BY DOWNLOADING, INSTALLING, AND/OR USING A FREE TOOL, YOU ACCEPT THIS AGREEMENT.

3. License, Not Sale

3.1 The Free Tools are licensed to You, not sold. You acknowledge and agree that under this Agreement You get the rights granted herein and no others, and that We keep all title to the Free Tools.

4. Grant of License and Restrictions

4.1 We grant You a license ("Your License") that is personal, non-exclusive, non-transferable, and royalty-free. It lets You install and run the Free Tools on any number of computers, on every operating system We support, and run them in Your browser.

4.2 You may not distribute, sell, lend, rent, lease, sublicense, or otherwise share a Free Tool.

4.3 You may make backup and archival copies.

4.4 You may use the Free Tools only as this Agreement permits and only in accordance with applicable law, provided, however, that nothing in this section limits a right the law gives You that cannot be waived.

4.5 You may not remove or alter a copyright, license, or third-party notice in a Free Tool or in anything shipped with it.

5. Intellectual Property

5.1 You acknowledge and agree that all right, title, and interest in and to the Free Tools, including all copyrights and other intellectual property rights therein and in any copies thereof, are and remain Our exclusive property. "Bliss", "Bliss Writer", and the names under which the Free Tools are published are Our names, and You may not use them without Our permission.

5.2 The Free Tools include third-party software, open source software among it, licensed to Us by others. That software is provided to You under its own license terms, and You are subject to them. Nothing in this Agreement limits Your rights under those terms.

6. Data Collection

6.1 A Free Tool does not send Us Your screenplays.

6.2 A Free Tool You download sends Us no data of any kind.

6.3 A page of Ours that serves a Free Tool is part of the Site under the Terms of Service, and what the Site collects is described in the Privacy Policy.

6.4 Personal data that reaches Us by any other means is covered by the Privacy Policy.

7. Disclaimer of Warranties

7.1 WE PROVIDE THE FREE TOOLS AS IS AND AS AVAILABLE. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Exclusion of Liability

8.1 IN NO EVENT WILL WE, OR OUR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES (TOGETHER, THE "BLISS PARTIES"), BE LIABLE TO YOU FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH A FREE TOOL, THE USE OF OR INABILITY TO USE IT, OR THIS AGREEMENT, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL, INCLUDING LOST PROFITS, LOST OPPORTUNITY, LOST DATA, LOST OR CORRUPTED SCREENPLAYS, AND BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.

8.2 NOTHING IN SECTIONS 7 AND 8 EXCLUDES OR LIMITS A LIABILITY THAT THE LAW DOES NOT PERMIT TO BE EXCLUDED OR LIMITED. AN EXCLUSION THE LAW DOES NOT PERMIT FALLS AWAY ON ITS OWN, AND THE REST STANDS.

9. Term and Termination

9.1 Your License continues until it ends under this section or under applicable law.

9.2 You acknowledge and agree that Your License ends automatically if You materially breach section 4. We reserve the right to end Your License immediately if You breach any other part of this Agreement.

9.3 You may end Your License at any time, for any reason and without giving one, by uninstalling the Free Tools and ceasing to use them.

9.4 You will promptly destroy the Free Tools and all copies of them in Your possession, including the backup and archival copies section 4.3 permits, upon Your License ending for any reason whatsoever.

10. Assignment

10.1 You may not transfer this Agreement, or any right and/or obligation under it, to any third party. We reserve the right to transfer Our rights and obligations under this Agreement to an affiliate, to a successor, or to any person or entity that takes the business over.

11. Governing Law and Disputes

11.1 This Agreement is governed by the law of the State of Delaware, USA.

11.2 A dispute goes to the courts of Delaware. If You are a consumer and mandatory law gives You the right to sue where You live, that right stands, and the courts of Delaware are not exclusive for You.

12. Acknowledgement

12.1 YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU AGREE TO BE BOUND BY IT.
