Bliss Writer End User License Agreement

This End User License Agreement (the "EULA") is published at https://blisswriter.app/legal/eula, alongside the Terms of Service and the Privacy Policy.

1. Parties

1.1 This EULA is between Weedon & Scott, LLC, a Delaware limited liability company ("We", "Us", or "Our"), and You, the person who buys a License for the app We make, in every version of it and on every update channel ("Bliss Writer"), or who uses it ("You").

2. Acceptance

2.1 BY BUYING A LICENSE, AND/OR BY DOWNLOADING, INSTALLING, AND/OR USING BLISS WRITER, YOU ACCEPT THIS EULA.

3. License, Not Sale

3.1 Bliss Writer is licensed to You, not sold. You acknowledge and agree that under this EULA You get the rights granted herein and no others, and that We keep all title to Bliss Writer.

4. Grant of License and Restrictions

4.1 We grant You a license ("Your License") that is personal, non-exclusive, and non-transferable. It is for one named person, and it lets that person install and run Bliss Writer on any number of computers of which they are the primary user, on every operating system We support.

4.2 Businesses must hold one License for each person who uses Bliss Writer for that business. Each License covers one named person, and a further purchase under the same email address adds another License.

4.3 You acknowledge and agree that full use of Bliss Writer requires a valid License, and nothing else.

4.4 You may not distribute, sell, lend, rent, lease, sublicense, or otherwise share license keys and/or Bliss Writer.

4.5 You may make backup and archival copies.

4.6 You may use Bliss Writer only as this EULA permits and only in accordance with applicable law, provided, however, that nothing in this section limits a right the law gives You that cannot be waived.

4.7 You may not remove or alter a copyright, license, or third-party notice in Bliss Writer or in anything shipped with it.

4.8 A License We issue as a trial takes no payment and does not convert into anything.

5. Intellectual Property

5.1 You acknowledge and agree that all right, title, and interest in and to Bliss Writer, including all copyrights and other intellectual property rights therein and in any copies thereof, are and remain Our exclusive property. "Bliss" and "Bliss Writer" are Our names, and You may not use them without Our permission.

6. Data Collection

6.1 Bliss Writer does not send Us Your screenplays.

6.2 It sends Us no telemetry, no analytics, and no crash reports. What it does send serves running Your trial and telling You that a newer version exists.

6.3 Personal data that reaches Us is covered by the Privacy Policy.

7. Disclaimer of Warranties

7.1 WE PROVIDE BLISS WRITER AS IS AND AS AVAILABLE. EXCEPT AS EXPRESSLY STATED IN THIS EULA, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

8.1 IN NO EVENT WILL WE, OR OUR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES (TOGETHER, THE "BLISS PARTIES"), BE LIABLE TO YOU IN CONNECTION WITH BLISS WRITER OR THIS EULA FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL LOSS, OR FOR LOST PROFITS, LOST OPPORTUNITY, LOST DATA, LOST OR CORRUPTED SCREENPLAYS, OR BUSINESS INTERRUPTION.

8.2 FOR THE SAME MATTERS, THE BLISS PARTIES' TOTAL LIABILITY TO YOU, IN THE AGGREGATE, IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENSE.

8.3 NOTHING IN SECTIONS 7 AND 8 EXCLUDES OR LIMITS A LIABILITY THAT THE LAW DOES NOT PERMIT TO BE EXCLUDED OR LIMITED. A LIMIT THE LAW DOES NOT PERMIT FALLS AWAY ON ITS OWN, AND THE REST STANDS.

9. Term and Termination

9.1 Your License continues until it ends under this section or under applicable law. A License issued for a limited period ends when that period ends.

9.2 You acknowledge and agree that Your License ends automatically if You materially breach section 4. We reserve the right to end Your License immediately if You breach any other part of this EULA.

9.3 You may end Your License at any time, for any reason and without giving one, by uninstalling Bliss Writer and ceasing to use it.

9.4 Your License ends if the price You paid for it is refunded, reversed, or charged back in full, whether by Us, by whoever took Your payment, or in the exercise of a statutory right of withdrawal or cancellation. It ends when the refund, reversal, or chargeback is made, and no notice from Us is required.

9.5 You will promptly destroy Bliss Writer and all copies of it in Your possession, including the backup and archival copies section 4.5 permits, upon Your License ending for any reason whatsoever.

10. Assignment

10.1 You may not transfer this EULA, or any right and/or obligation under it, to any third party. We reserve the right to transfer Our rights and obligations under Your License to an affiliate, to a successor, or to any person or entity that takes the business over.

11. Acknowledgement

11.1 YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, THAT YOU UNDERSTAND IT, AND THAT YOU AGREE TO BE BOUND BY IT.
